Requirements for a Limited CompanyFull details of requirements are given in the FAQ section. Here we have outlined some brief requirements that are of primary concern to the client and are relevant to company formation UK. Company NameThe company name must end with the word Limited or Ltd. Limited or Ltd can not be written in the middle of the company name. Companies House will print the company name in upper case on the certificate of incorporation. However, you can print the company name on your business stationery whichever way you choose as long as you do not change any part of the company name. Directors A private limited company must have at least two officers, one of whom must be a director. If there are two directors one of the directors may also act as the company secretary. The directors of the company carry the main responsibility of running and managing the limited companies. The officers of the company may be resident anywhere in the world but must show their correct usual residential address on their appointment form. Secretary All limited companies must have a secretary. The role of the secretary is to carry out administrative duties. Shareholders There must be at least one shareholder holding one share out of the nominal capital of the company. Shareholders of limited companies are owners of the company and directors are employees of the company. A common scenario in small limited companies is one director, one secretary and one share issued to the director. This makes the director 100% owner of the company. Registered office address Registered office address is where communications and notices are addressed. It is the official place of residence of limited companies. Limited companies must have a registered office in the country in which they are incorporated. Hence a company incorporated in England and Wales must have a registered office in England or Wales.
