Memorandum and ArticlesCreation of Multiple Share Classes Whilst standard memorandum and articles of association provided by us and any other company formation agent are adequate for most business situations, there are occasions when you may have special requirements with regards to distribution of profits, introduction of investors and many other business scenarios. This service is for existing limited companies which may need to create multiple share classes in order to achieve certain business objectives. While it is not possible to list all the various share classes, we list below the most commonly used share classes. The usual share classes are: Ordinary shares, which carry voting rights and entitlements to receive dividends of an unlimited amount and to participate in the surplus assets of the company on winding up. The ordinary share capital may be divided into 'A' and 'B' shares. Such shares will together constitute the equity share capital of a company. Non-Voting Shares, which do not carry any right to attend or vote at a general meeting of a limited company. They are sometimes used in limited companies to enable employees to participate in the equity of the company without any loss of control for the owners. Preference Shares, which as the name implies, carry preferential rights as to dividends or capital or both. They do not normally form part of the equity share capital, although it is uncommon, too, for such shares to carry voting rights. The usual characteristic of such shares is a right to receive a fixed dividend expressed as a percentage of a share's nominal value and the right on winding-up to the return of the amount paid upon each share in priority to any other class of share. There may be additional rights attached to preference shares. For example, such shares may be cumulative, redeemable, convertible, participating or voting.Cost of service - from £75 + vat
Update and re-printing of Memorandum and Articles of Association Through the life of a limited company there may be a requirement to update the Memorandum and Articles of Association. For example, resolutions may have been passed to alter the share capital, to change the objects clause or some other provisions in the Articles may have been changed. We will first carry out a search with Companies House to obtain copies of the original Memorandum and Articles of Association and subsequent changes made to them. We will then re-print the Memorandum and Articles of Association including all the amendments made to them. This will be done accurately with proof reading.
