Initial Statutory Work

Newly incorporated companies will need to complete their statutory registers and issue shares. Our company formation service includes issuing of subscriber shares, appointment of officers of the company and completion of registers depending upon the requirement, However, you may have set up the company through another company formation agent or you may have set it up yourself and not paid attention to the structure of the company. We can advise you and carry out the initial statutory work at minimal cost, ensuring that minutes of the meetings are written up correctly and all necessary documents are filed with Companies House.

A fully completed statutory register will be supplied when we have finished the work

Share Allotment

We check the limited company's memorandum and articles of association to ensure that the company has the ability to allot the shares. We then prepare the necessary minutes of the meeting and forms.

Share certificates can be provided by us in cases where we are maintaining your statutory register.

Increase in Authorised Share Capital

When a company is incorporated it is assigned a certain authorised nominal capital from which it can issue shares.

If you wish to increase the authorised share capital after your company is incorporated we can carry out the required paperwork. We will file the necessary documents with Companies House and provide you with the amended Memorandum and Articles of Association

Share Transfer

Sometimes it is necessary for limited companies to transfer the shares from one individual to another. We will prepare the necessary minutes of the meeting, share transfer form and obtain the necessary stamp duty from Inland Revenue. The stamp duty is currently £5 minimum or 0.5% of the transfer value, whichever is the highest amount.
