Company Restoration

With our vast experience we can restore a company with speed and efficiency.

Company Restoration is the process by which dissolved (struck off) companies are restored to the Companies House register. A company can only be restored by an Order of the Court. At the end of company restoration process, the company is treated in law as if it had never been dissolved.

The most common scenario for a company being struck off the register is for non-filing of annual returns or accounts. When a company is dissolved any assets held by the dissolved company will become ‘Bona Vacantia’. The term ‘Bona Vacantia literally means vacant goods and is the legal name for ownerless property which by law passes to the Crown.

So, the obvious reason for company restoration is to claim the assets back from the Bona Vacantia department. In some cases the company may want to release the assets and close down again while others may want to continue business.

Additional cost of £100 + vat towards the cost of Dutchy of Cornwall applies if  the registered office address was in Lancaster or Cornwall at the time of dissolution.

This is how our service works:

  1. We prepare a claim form and a statement of truth explaining the circumstances that led to the dissolution of the company. A shareholder of the company will be asked to sign these documents.


  2. We make a court application to the High Court in London. This is quicker than applying to a District Court.


  3. We serve the court application on Companies House and the Treasury Solicitors.


  4. We then deal with all queries arising from the application and liaise with the Court, the Treasury Solicitor and Companies House at every stage of the process and give you a complete professional service.


  5. Once the High Court has given its approval a copy of the Court Order is sealed and served on Companies House who then start the company restoration.


Where possible we try to obtain consent of all parties involved. This removes the requirement to attend a formal court hearing, speeding up the company restoration process. However, it cannot be guaranteed that formal court hearing will not be required in complex cases.
